Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NexgenixLabs LLC's website (nexgenixlabs.com) and products, including AuditGraph (auditgraph.ai). By accessing or using our services you agree to be bound by these Terms.

1. Acceptance

By using our website or products you confirm that you are at least 18 years old, have authority to enter these Terms on behalf of yourself or your organization, and agree to comply with applicable law.

2. Use of services

You may use our services only for lawful purposes. You agree not to:

• Use the services to violate any applicable law or regulation
• Attempt to gain unauthorized access to our systems or another customer's data
• Use the services to harm, threaten or harass others
• Reverse engineer, decompile or extract source code from our products
• Resell or sublicense our products without written authorization

3. AuditGraph product terms

AuditGraph requires read-only access to your cloud tenant via Microsoft Graph and Azure Resource Manager APIs. No write permission is requested at any time. By connecting a tenant you represent that you are authorized to grant that access, and you may revoke it at any point.

Your tenant data is processed solely to provide the service. We maintain tenant isolation; your data is not commingled with another customer's.

4. Plans, trials and payment

AuditGraph offers a free plan bounded by estate size rather than by time, and a 30-day trial of all features that converts to the free plan on expiry rather than to a charge. Paid plans are billed monthly and renew automatically unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period. We do not refund partial billing periods.

5. Product availability

Products described as “coming soon” or “in research” are not available and no commitment is made as to whether or when they will be. Nothing on our websites describing a roadmap product constitutes an offer.

6. Intellectual property

All content, features and functionality of our websites and products are owned by NexgenixLabs LLC and protected by applicable intellectual property laws. You may not copy, modify or distribute our content without written permission.

7. Disclaimer of warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted or error-free. Use is at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, NexgenixLabs LLC shall not be liable for indirect, incidental, special, consequential or punitive damages arising from use of or inability to use the services. Total liability for any claim shall not exceed the amount paid to us in the 12 months preceding the claim.

9. Termination

We may suspend or terminate access for violation of these Terms or at our discretion. On termination your right to use the services ceases. Provisions that by their nature survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Disputes shall be resolved in the courts of Dallas County, Texas.

11. Changes

We may modify these Terms. Material changes will be posted here with a revised date. Continued use after a change constitutes acceptance.
